Terms of Service

1. About Equinode

Equinode is a digital marketing agency offering services including, but not limited to:

• Social media strategy, management, and advertising
• Google and search engine marketing
• Creative and content production
• Branding and design
• Web development and hosting
• Campaign analytics, reporting, and consulting

2. Eligibility & Accounts

2.1 Eligibility

You must be at least 18 years old to use the Service.

2.2 Account Responsibility

If you create an account, you are responsible for:

• Keeping login credentials secure
• All activity under your account
• Unauthorized access must be reported immediately

2.3 Client Information

You agree to provide accurate and updated business information. False or incomplete information may result in suspension or termination.

3. Acceptable Use

Users agree not to:

• Conduct illegal, abusive, threatening, or fraudulent activities
• Promote fake followers, engagement, bots, or misleading behavior
• Upload malware, viruses, or harmful software
• Infringe on copyrights, trademarks, or intellectual property
• Harass staff or pressure Equinode to violate platform advertising policies
• Replicate or reverse-engineer Equinode systems or strategy methods

Violations may result in termination and potential legal action.

4. Intellectual Property

All strategies, artwork, campaigns, funnels, copywriting, videos, designs, and reports created by Equinode remain the property of Equinode unless a written contract transfers ownership.

Clients receive usage rights for their own business, but cannot:

• Resell deliverables
• Reuse or copy them for competing services
• Distribute or publish them as their own work

Portfolio use: Unless a Client objects in writing, Equinode may display completed or active work (designs, ads, case studies, screenshots, or results) in its portfolio, website, or social media.

5. Client-Provided Content

Clients who provide images, videos, testimonials, logos, or other assets confirm that:

• They own or have legal rights to use the materials, and
• Permission is granted to Equinode to use them for marketing activities

Equinode is not responsible for legal violations caused by client-provided content.

6. Payments, Billing & Cancellation

6.1 Billing

Marketing retainers, monthly management, and project fees are billed in advance.

6.2 Auto-Renewal

Marketing retainers and subscription services renew automatically.

6.3 Required Cancellation Notice

Clients must provide written notice at least two (2) months in advance to cancel ongoing services or retainers.

Stopping campaigns, deleting an account, or becoming unresponsive does not cancel billing.

6.4 Non-Refundable

All payments are non-refundable, including:

• Unused service time
• Early termination
• Platform issues (Facebook, Instagram, Google, TikTok, etc.)

6.5 Withholding of Deliverables

Work, reports, designs, and campaigns may be paused or withheld if invoices remain unpaid.

7. Marketing Performance Disclaimer

Equinode does not promise or guarantee:

• Sales or revenue
• Leads or conversions
• Algorithm placement
• Social media follower growth
• Search engine ranking
• Viral content

Marketing results depend on budget, audience behavior, competition, platform rules, and client cooperation.

8. Third-Party Services

Equinode uses third-party platforms such as Meta, Google, TikTok, LinkedIn, etc. We are not responsible for:

• Platform outages, bugs, or bans
• Ad disapprovals
• Lost accounts due to platform policies
• Algorithm changes or pricing fluctuations

Clients must comply with platform advertising rules.

9. Termination of Service

9.1 Termination by Client

• Requires at least two (2) months written notice
• All outstanding invoices must be paid
• Work will continue until the end of notice period

If a client returns after cancellation: Previous pricing and agreements become void. A new contract with current pricing applies.

9.2 Termination by Equinode

We may suspend or terminate services at any time for:

• Non-payment
• Abuse or threats toward staff
• Illegal or unethical marketing requests
• Violation of these Terms

10. Confidentiality

Both parties agree to keep sensitive business information confidential.

Clients agree not to share, teach, resell, or duplicate Equinode systems, templates, strategies, or internal processes.

11. Limitation of Liability

To the maximum extent permitted under UAE law, Equinode will not be liable for:

• Lost profits, lost revenue, or business interruption
• Loss of data, leads, or brand reputation
• Third-party platform failures or takedowns
• Any indirect or consequential damages

If liability is ever legally required, compensation shall not exceed:

• The total amount paid to Equinode in the past 60 days, or
• $100 USD
• Whichever is greater

12. Indemnification

Clients agree to indemnify and hold Equinode harmless from claims, damages, fines, or fees caused by:

• Improper use of services
• Illegal advertising or content
• Intellectual property violations
• Platform policy violations

13. Governing Law & Disputes

This Agreement is governed by the laws of Dubai, United Arab Emirates.

13.1 Binding Arbitration

Any dispute or claim will be resolved through binding arbitration, not through courts.

13.2 No Class Actions

Claims may only be brought individually. No class actions or group claims are permitted.

These Terms, along with the Privacy Policy, constitute the entire agreement between you and Equinode. If any section is invalid, the remaining terms remain in effect.
